Mastermind Charlie Mascarenhas (Abhishek Bachchan) and his accomplice Riya (Bipasha Basu) are one of the greatest pair of thieves in India. A friend of Charlie, Raj (Aftab Shivdasani) is killed by the Russian mafia. At Raj's funeral, his wife hands Charlie a CD containing information about the transfer of gold by train from Russia to Romania. Charlie decides to rob the train with the help of imprisoned Don and con-artist Victor Braganza (Vinod Khanna). They hire a team of criminals to join them in the robbery. A voice-over by RD (Anil Kapoor) introduces the four main characters: Ranvir Singh (Saif Ali Khan) who runs a successful business he inherited from his father. His younger brother Rajiv Singh (Akshaye Khanna) who mooches off of Ranvir and is an alcoholic. Ranvir is dating an upcoming model Sonia (Bipasha Basu), while his personal assistant Sophia (Katrina Kaif) appears to be secretly in love with him. Ranvir is also involved in an intense competition with a rival horse-owner Kabir (Dilip Tahil). The film opens with a murder plot involving a car accident which Ranvir narrowly survives. When Ranvir loses money in a race because his jockey had been bribed by Kabir, Ranvir plants a bomb in the jockey's car and kills him, showing Ranvir to be a ruthless businessman.

The story revolves around the life of Sophia (Urvashi Sharma) who lives in Goa. When she is stalked and then attacked by a rapist named Rakesh, Sophia re-locates to Dubai. After acquiring the possession of the company owned by Vishwanath Sharma (Anant Mahadevan) using trickery, Madan Chopra (Dalip Tahil) dismisses Vishwanath from the company to exact a revenge on the latter, leaving the Sharma household to undergo distress and illness which claims the lives of Vishwanath and his little daughter. A spell of lasting grief casts over Vishwanath's wife (Rakhee Gulzar), while his son Ajay (Shah Rukh Khan) determines to take vengeance on Madan for his family's tragedy. 15 years later, a grown-up Ajay courts Seema (Shilpa Shetty), one of Madan's two daughters, while dating Priya (Kajol), the other daughter with a false individuality named Vicky Malhotra, keeping everyone ignorant of his dual-identity. The scary part of the film starts now, when a vindictive Ajay pushes Seema from a building to death making it, to all appearances, look like a suicide while Priya, with a strong belief of Seema's death to be a murder, determines to find out the killer with the help of her friend Inspector Karan (Siddharth Ray).
